Complete statement on South Bend Clinic and Beacon Health merger

The following is a release from The South Bend Clinic and Beacon Health System on their plan to merge:

South Bend Clinic and Beacon Health System begin process to Merge

June 21, 2013—Today, leaders at Beacon Health System and The South Bend Clinic announced their intent to join their operations to further expand the medical services available throughout the Michiana region. The Board of Directors of Beacon Health System, the parent organization of Memorial Hospital of South Bend and Elkhart General Hospital, have approved pursuit of the acquisition of the South Bend Clinic and it's over 90 physicians and 6 facilities in the Michiana area. The former Memorial Medical Group and Elkhart Medical Group joined to become part of Beacon last year and there are now 193 physicians in the growing physician integrated medical practices. This initial stage of The South Bend Clinic merging with Beacon will require a due diligence process and review and approval by the Federal Trade Commission which is expected to be completed later this year.

Further details on the arrangement will not be available until the final agreement is approved. However, the two organizations have been in strategy discussion for over three years. Beacon CEO Phil Newbold said, "We have worked closely with physicians from The South Bend Clinic for over 50 years as partners in caring for their patients. This new relationship will allow our growing physician group to be much better prepared for the landmark changes they face with health care reform and help insure access to primary care and specialist physicians for our community." Jesse Hsieh, M.D., President of The South Bend Clinic added, "Healthcare is changing rapidly and around the country medical groups are finding that affiliation with a strong health system allows physicians more time to care for their patients and less time being spent navigating ways to respond to reimbursement changes. We are excited about the growth opportunities our physicians will have as part of the new Beacon Health System."

The South Bend Clinic was founded in 1916 and was located in downtown South Bend on Lafayette Street. The Clinic built and relocated to 211 North Eddy Street in 1964. Since that relocation, The South Bend Clinic has gone through much growth and facility expansion at its main campus as well as creation and expansion of multiple satellite campuses. The South Bend Clinic now employs a staff of 610 at its six campuses in South Bend, Granger, Mishawaka, Portage, Ironwood and New Carlisle, and at its offices in Elkhart and Berrien Springs, Michigan. These combined facilities serve over 300,000 patient visits a year.

Beacon Health System was formed in 2012 when Elkhart General Health System and Memorial Health System affiliated. Beacon is a community-owned, locally governed, not-for-profit health system and now has approximately 6,600 associates, 700 affiliated physicians, 193 integrated medical practices and operates MedPoint, MedPoint Express, Memorial Home Care, Elkhart General Home Care, HealthWorks! Kids' Museum and the Pfeil Innovation Center.
